Please read these terms and conditions carefully before using Virginia Web Development's services. By engaging with our company and accepting our services, you agree to be bound by these terms.
1. Service Agreement Overview
Scope of Services
Virginia Web Development provides web design, development, and related digital services as outlined in individual project proposals and contracts. Our services include but are not limited to: custom website design, responsive development, content strategy, technical optimization, and ongoing support packages.
Project Engagement
All projects begin with a formal engagement letter or proposal that outlines deliverables, timeline, pricing, and payment terms. This agreement serves as the binding contract between Virginia Web Development and the client. Any changes to scope, timeline, or deliverables must be documented in writing and signed by both parties.
Project Timelines
Estimated project timelines are provided in good faith based on typical project progression. Delays may occur due to client feedback cycles, content delays, third-party integrations, or unforeseen technical challenges. Virginia Web Development will communicate any timeline adjustments as soon as they become apparent.
2. Client Responsibilities
Content Provision
Clients are responsible for providing all necessary content, including text, images, videos, and any other materials needed for their website. Content should be accurate, original, and free from copyright infringement. Virginia Web Development is not responsible for content provided by the client.
Timely Feedback and Approvals
Clients agree to review deliverables promptly and provide feedback within agreed-upon timeframes. Delays in client feedback may result in project timeline extensions. Virginia Web Development requires written approval before proceeding to the next project phase.
Third-Party Credentials and Access
If your project requires access to hosting providers, domain registrars, email services, or other third-party platforms, you are responsible for providing necessary credentials and maintaining account security. Virginia Web Development will not be liable for unauthorized access or account compromise.
Legal Compliance
Clients are responsible for ensuring their website content and business practices comply with all applicable laws, regulations, and industry standards, including but not limited to privacy laws, accessibility requirements, and consumer protection regulations.
3. Intellectual Property Rights
Custom Development
Upon full payment, all custom code, design files, and original work created specifically for your project become your intellectual property. Virginia Web Development retains the right to use general design principles, development methodologies, and non-proprietary code frameworks in future projects.
Pre-Existing Materials
Virginia Web Development retains ownership of all pre-existing tools, templates, libraries, frameworks, and other materials developed prior to your engagement. You receive a license to use these materials as part of your website, but do not own them.
Client Content
You retain full ownership of all content, images, videos, and materials you provide to Virginia Web Development. By providing content, you grant Virginia Web Development a limited license to use, modify, and display that content solely for the purpose of delivering your website.
Portfolio Use
Unless otherwise agreed in writing, Virginia Web Development may display your completed website in our portfolio, case studies, and marketing materials. We will not disclose confidential business information. If you prefer your project remain private, please request this in writing.
4. Payment Terms
Pricing and Invoicing
Project pricing is outlined in the proposal and engagement letter. Invoices are issued according to the payment schedule specified in your contract. All prices are in U.S. dollars unless otherwise stated.
Payment Schedule
Standard payment terms include an initial deposit to begin work, with additional payments due at project milestones. The final payment is due upon project completion and delivery. Specific payment schedules will be outlined in your engagement letter.
Late Payments
Payments not received by the due date may incur a late fee of 1.5% per month or the maximum allowed by law, whichever is less. Virginia Web Development reserves the right to suspend work on projects with outstanding payments.
Project Launch
Your website will not be launched to production until all payments have been received in full. During the final payment period, your site will remain in a staging environment.
Refunds
Refunds are generally not available once work has commenced. If you choose to cancel a project, you remain responsible for payment for all work completed to that point. Partial refunds may be considered on a case-by-case basis and require written approval.
5. Limitation of Liability
Service Availability
Virginia Web Development provides services on an "as-is" basis. While we strive for reliability and performance, we do not guarantee uninterrupted website availability. Downtime may occur due to server maintenance, security updates, hosting provider issues, or circumstances beyond our control.
Data Loss and Security
You are responsible for maintaining regular backups of your website data and content. Virginia Web Development is not liable for data loss resulting from client actions, third-party hosting provider failures, or cyber attacks. We recommend implementing appropriate security measures and backup protocols.
Damages Limitation
To the maximum extent permitted by law, Virginia Web Development's total liability for any claim arising from or related to these services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, consequential, special, or punitive damages.
Third-Party Services
Your website may integrate with third-party services, plugins, or APIs. Virginia Web Development is not responsible for the performance, reliability, or security of third-party services. You use these integrations at your own risk.
6. Confidentiality
Confidential Information
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Confidential information includes but is not limited to: business strategies, financial data, customer lists, and technical specifications.
Permitted Disclosure
Virginia Web Development may disclose confidential information only as required by law or legal process. We will not share your information with third parties without your written consent, except where necessary to deliver your services (such as hosting providers or payment processors).
Duration
Confidentiality obligations continue indefinitely for information that is not publicly available or disclosed through no fault of the receiving party.
7. Maintenance and Support
Post-Launch Support
Virginia Web Development includes a limited support period following website launch to address critical bugs and issues. Details regarding the support period and coverage are outlined in your engagement letter. Extended support is available through separate maintenance agreements.
Ongoing Maintenance
After the initial support period, ongoing maintenance, updates, and enhancements are available through separate service agreements. Without a maintenance plan, Virginia Web Development is not responsible for security updates, performance optimization, or bug fixes.
Browser Compatibility
Your website is developed to work with current versions of modern browsers (Chrome, Firefox, Safari, Edge). Virginia Web Development does not guarantee compatibility with outdated browsers or non-standard applications.
8. Termination and Cancellation
Project Cancellation
If you wish to cancel a project, written notice must be provided to Virginia Web Development. You remain responsible for payment for all work completed and materials created up to the cancellation date. Cancellation does not entitle you to a refund of amounts already paid.
Termination for Cause
Virginia Web Development may terminate a project if: (1) payment is not received within 30 days of the due date, (2) the client provides false or misleading information, or (3) the client requests illegal or unethical activities. In such cases, you remain responsible for all work completed.
Work Product Upon Termination
Upon project completion and full payment, you receive all work product and source files. If a project is terminated early, Virginia Web Development will provide completed deliverables and may withhold incomplete work until all outstanding payments are received.
9. Changes to These Terms
Virginia Web Development reserves the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any modifications constitutes your acceptance of the updated terms. We recommend reviewing these terms periodically for any updates.

These Terms of Service are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be exclusively brought in the courts located in Virginia.
By engaging Virginia Web Development, you consent to the exclusive jurisdiction and venue of Virginia courts and waive any objection to venue or inconvenient forum.
